| Yahoo! Finance Premium Services Additional Terms | ||
ACCEPTANCE OF YAHOO! TERMS Welcome to Yahoo! Finance Premium Services ("Premium Services"), owned and operated by Yahoo! Inc. ("Yahoo"). Yahoo provides these Premium Services to you subject to the Yahoo! Terms of Service ("TOS") and these Additional Terms which are in addition to and supplements the TOS, both or either of which may be updated by Yahoo from time to time. View the most current version of the TOS. YAHOO! ID AND YAHOO WALLET REQUIREMENT To participate in Premium Services, you must have a valid Yahoo! ID. You must also have a Yahoo! Wallet, which will save your credit card, billing and shipping information and other information (your "Registration Data"). If you do not have a Yahoo! ID or a Yahoo! Wallet, you will be prompted to complete the registration process for them before you can pay for Premium Services. PAYMENT TERMS AND ACCESS TO PREMIUM SERVICES The credit card that you provide as part of your Registration Data will automatically and immediately be billed for the Premium Services package you request. All currency references are in U.S. dollars. You will have thirty (30) days from your date of registration to access your Premium Service. You may access you Premium Service as many times as you like within those 30 days. Please note, unless Yahoo! provides notice otherwise, payment for Premium Services is billed on a monthly basis and is non-refundable. If you cancel your Premium Service, your cancellation will take effect at the end of the monthly term in which you cancelled. If your credit card is invalid for any reason or Yahoo does not receive payment, your Premium Services will be cancelled immediately. You agree that Yahoo may bill your credit card account, provided in connection with Yahoo Wallet, for any amounts paid by Yahoo in connection with: any inaccuracy or incompleteness in the information provided in the Subscriber Agreements by you relating to your status as a Non Professional Subscriber; or any failure to update such information. Please note, if you register for Premium Services, your billing date is the calendar date on which you registered. If you registered on the 5th of the month, you will be billed on the 5th. If you register on the 29th, 30th or 31st of any month, you will be billed on the 1st of the next following month (eg: if you register May 30, your first billing date will be June 1st). ACCEPTANCE OF SUBSCRIBER AGREEMENTS Some Premium Services (including but not limited to Real Time Quotes) are provided to you subject to certain exchanges (including the Nasdaq Stock Market, Inc. and the NYSE) Subscriber Agreements ("Subscriber Agreements"). By subscribing to these Premium Services, you agree to be bound by the terms and conditions of the Subscriber Agreements. Because you are agreeing to be legally bound by these agreements, please read them carefully. Yahoo expressly reserves the right to collect and maintain information submitted by you to Yahoo when completing the Subscriber Agreements. Notwithstanding anything to the contrary in Yahoo's TOS or Privacy Policy, this information will be stored and maintained by Yahoo for at least three (3) calendar years. Yahoo may disclose information to the exchanges to verify that users of Premium Services are Nonprofessional Subscribers, as required by the Subscriber Agreements. Information may also be disclosed by Yahoo in accordance with Yahoo's Privacy Policy. YAHOO'S RESERVATION OF RIGHTS Yahoo expressly reserves the right to immediately modify, suspend or terminate your account and refuse current or future use of any Yahoo service, including your Premium Services, if Yahoo, in its sole discretion believes you have: (i) violated or tried to violate the rights of others; or (ii) have acted inconsistently with the spirit or letter of the TOS or these Additional Terms; (iii) have misrepresented or failed to update your status as a NonProfessional Subscriber; (iv) have violated any third party agreements in connection with the Premium Services, including, without limitation, the Subscriber Agreements; or (v) have improperly used a credit card or used an invalid credit card. Yahoo expressly reserves the right at any time and from time to time to modify, discontinue, temporarily or permanently, the Premium Services (or any part thereof) with our without notice. You agree that Yahoo shall not be liable to you or to any third party for any modification, suspension or discontinuance of the service. INDEMNITY You agree to indemnify and hold harmless Yahoo, and its subsidiaries, affiliates, officers, agents, or other partners, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your misrepresentations or breach of any of the Stock Exchange Agreements or partner Subscriber Agreements, your use of the Premium Services, your connection to the Premium Services, your violation of the TOS, or these Additional Terms or your violation of any rights of another person or entity. INVALIDITY OF SPECIFIC TERMS If any provision of these additional terms or any document incorporated by reference is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of such documents remain in full force and effect. LOCATION OF LAWSUIT The TOS, which apply to your use of the Premium Services, provide that both you and Yahoo agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Santa Clara, California, USA. The TOS, these Additional Terms and the relationship between you and Yahoo shall be governed by the laws of the State of California without regard to its conflict of law provisions. |
