Changes in Registrant's Certifying Accountant, Financial Statements and Exhibits


Item 4.01 Change in Registrant's Certifying Accountant.

On July 5, 2014, upon approval by the board of directors of OriginOil, Inc. (the "Company"), the Company dismissed Weinberg & Company, PA ("Weinberg") as its independent registered public accounting firm. Weinberg's dismissal was effective immediately and the Company appointed Liggett Vogt & Webb, PA ("Liggett") as its new independent registered public accounting firm.

The report of Weinberg on the Company's financial statements for the fiscal year ended December 31, 2013 did not contain an adverse opinion or disclaimer of opinion, nor was it qualified or modified as to uncertainty, audit scope or accounting principles, except that the report was qualified as to the Company's ability to continue as a going concern.

During the fiscal year ended December 31, 2013 and through the interim period ended July 5, 2014, there were no disagreements with Weinberg on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure which, if not resolved to the satisfaction of Weinberg, would have caused it to make reference to the matter in connection with its report.

During the fiscal years ended December 31, 2012 and 2013 and the subsequent interim period through July 5, 2014, the Company did not consult with Liggett regarding either (i) the application of accounting principles to a specific completed or contemplated transaction, or the type of audit opinion that might be rendered on the Company's financial statements or (ii) any matter that was either the subject of a disagreement or a reportable event identified in response to (a)(1)(v) of Item 304 of Regulation S-K.

The Company has made the contents of this Current Report on Form 8-K available to Weinberg and requested that Weinberg furnish the Company a letter addressed to the SEC as to whether Weinberg agrees or disagrees with, or wishes to clarify the Company's expression of, its views, or containing any additional information. A copy of Weinberg's letter to the SEC is included as Exhibit 16.1 to this Current Report on Form 8-K.
