Changes in Registrant's Certifying Accountant, Financial Statements


Item 4.01. Change in Registrant's Certifying Accountant.

On June 13, 2014, as a result of a competitive process and following careful deliberation, the Audit Committee of the Board of Directors of Polypore International, Inc. (the "Company") appointed KPMG LLP ("KPMG") as the Company's independent registered public accounting firm, effective June 16, 2014.

Ernst & Young LLP ("EY") was previously the independent registered public accounting firm for the Company. On June 13, 2014, EY was dismissed as the Company's independent auditors, effective immediately.

The audit reports of EY on the Company's consolidated financial statements as of and for the two fiscal years ended December 28, 2013 and December 29, 2012 did not contain an adverse opinion or disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles.

During the two fiscal years ended December 28, 2013 and December 29, 2012 and the subsequent interim period through June 13, 2014, (i) there were no "disagreements" (as defined in Item 304(a)(1)(iv) of Regulation S-K and related instructions) between EY and the Company on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of EY, would have caused EY to make reference thereto in its report on the consolidated financial statements for the relevant fiscal year, and (ii) there were no "reportable events" (as defined in Item 304(a)(1)(v) of Regulation S-K).

During the two fiscal years ended December 28, 2013 and December 29, 2012 and the subsequent interim period through June 16, 2014, neither the Company, nor anyone on its behalf, consulted KPMG regarding (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company's consolidated financial statements, and no written report or oral advice was provided to the Company by KPMG that KPMG concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or (ii) any matter that was the subject of a "disagreement" (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a "reportable event" (as defined in Item 304(a)(1)(v) of Regulation S-K).

A copy of EY's letter to the Securities and Exchange Commission dated as of June 16, 2014 is attached as Exhibit 16.1 to this report.
