Item 8.01. Other Events.

At a meeting held on April 1 and 2, 2014, the Delaware Public Service Commission (the DPSC) issued an order with respect to an application filed by Delmarva Power & Light Company (DPL), a wholly owned subsidiary of Pepco Holdings, Inc. (Pepco Holdings or PHI), to increase DPL's electric distribution base rates. The DPSC order provides for an annual increase in DPL's electric distribution base rates by approximately $15.1 million, with final rates effective for service on and after May 1, 2014. The order provides for a return on equity of 9.7%. As permitted by the DPSC, DPL implemented interim rate increases of $2.5 million on June 1, 2013 and $25.1 million on October 22, 2013, subject to refund and pending the DPSC's final order with respect to the application. DPL will submit to the DPSC a rate refund plan to provide a credit or refund to any customer whose rates were increased in October 2013 in the amount that exceeded the increase approved by DPSC.

In its application to the DPSC, DPL had requested an increase in electric distribution base rates of approximately $39.0 million (as adjusted by DPL on September 20, 2013), based on a requested return on equity of 10.25%.

The amounts contained in the DPSC's order are subject to verification by all parties to the base rate proceeding and may be changed by further order of the DPSC upon such verification. A full Findings, Opinion and Order in this proceeding will be issued by the DPSC at a later date.
