Item 3.02 Unregistered Sales of Equity Securities

On January 10, 2014, ALLETE, Inc. contributed 396,000 shares of ALLETE common stock to its pension plan. These shares of ALLETE common stock were contributed pursuant to Section 4(a)(2) of the Securities Act of 1933 and had an aggregate value of approximately $20 million when contributed.

(c) Effective March 3, 2014, ALLETE, Inc., (ALLETE or Company) named Steven W. Morris the Company's Controller. Mr. Morris, 52, joined the Company in 2001 as Manager of Financial Reporting and Budgeting for Minnesota Power. In 2005, he was appointed Director of Internal Audit for ALLETE and in 2010 was appointed the Director of Accounting. Mr. Morris will succeed Steven Q. DeVinck, who was named the Company's Chief Financial Officer in December 2013, effective March 3, 2014.
