Item 7.01 Regulation FD Disclosure.

During our earnings conference call on October 23, 2013, we highlighted the following outlook for the fourth quarter 2013.

For the fourth quarter of the year, we estimate our revenue to be between $477 million to $480 million. We estimate net pricing growth to be about 2.9% and volume growth to be between 0.5% and 1.0%. Recycling, intermodal and other growth is estimated to be between negative 0.5% and negative 1%. Adjusted EBITDA is estimated to be between $162 million and $163 million, reflecting a margin of about 34%. Depreciation and amortization expense is estimated to be about 12.8% of revenue. Amortization of intangibles expense is estimated to be about $6.5 million, or $0.03 per diluted share. Operating income is estimated to be about 21.2% of revenue. We expect interest expense to be approximately $17.8 million. We expect our effective tax rate to be about 39.2%. Noncontrolling interests expense is estimated to be about $200,000.

These estimates assume no change in the current economic environment and a November 1, 2013 closing of the transaction in the Minnesota Twin Cities region, but they exclude the impact of any other acquisitions that may close during the period and items such as the expensing of acquisition-related transaction costs.

Adjusted EBITDA is considered a non-GAAP financial measure, and is provided supplementally because it is widely used by investors as a performance and valuation measure in the solid waste industry. Management uses adjusted EBITDA as one of the principal measures to evaluate and monitor the ongoing financial performance of our operations. We define adjusted EBITDA as income before income tax provision, plus interest expense, plus depreciation and amortization expense, plus closure and post-closure accretion expense, plus or minus any loss or gain on disposal of assets, plus other expense, less other income. We further adjust this calculation to exclude the effects of items management believes impact the ability to assess the operating performance of our business. This measure is not a substitute for, and should be used in conjunction with, GAAP financial measures. Other companies may calculate this measure differently.
