Item 8.01. Other Events.

As previously disclosed, on May 28, 2013, Lender Processing Services, Inc., a Delaware corporation (the "Company"), Fidelity National Financial, Inc., a Delaware corporation ("FNF"), and Lion Merger Sub, Inc., a Delaware corporation and a subsidiary of FNF ("Merger Subsidiary"), entered into an Agreement and Plan of Merger (the "Merger Agreement") pursuant to which Merger Subsidiary will be merged with and into the Company, with the Company surviving as a subsidiary of FNF.

On July 8, 2013, the Company issued a press release announcing the expiration of the "go-shop" period pursuant to the terms of the Merger Agreement. A copy of the press release is furnished as Exhibit 99.1 hereto.
