(b) On March 15, 2013, AmeriGas Propane, Inc. (the "General Partner"), the
general partner of AmeriGas Partners, L.P., announced that John S. Iannarelli,
Vice President-Finance and Chief Financial Officer of the General Partner,
intends to leave the General Partner in the latter half of the third fiscal
quarter of 2013. Mr. Iannarelli has agreed to continue to serve as Vice
President-Finance and Chief Financial Officer of the General Partner until his
successor is named. Discussions regarding Mr. Iannarelli's compensatory
arrangements with the General Partner are ongoing.
