Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 11, 2013, George B. James notified the Board of Directors (the "Board")
of Callidus Software Inc. (the Company") that he will retire from the Board when
his current term expires at the Company's 2013 Annual Meeting of Stockholders
(the "Annual Meeting"). Mr. James has served as director of the Company since
May 1999. The Board will reduce the size of the Board from seven to six
directors effective as of the Annual Meeting in accordance with the Company's
Second Amended and Restated Bylaws. In connection with Mr. James' retirement,
the Board extended the exercise period of Mr. James' stock options until the
earlier of either the one-year anniversary of the Annual Meeting or the original
option expiration date.
