On March 6, 2013, the Board of Directors of Vishay Precision Group, Inc. (the
"Company") approved the special cash bonuses set forth below (the "Special
Bonuses") for the Company's Chief Executive Officer and Chief Financial Officer
in recognition of their contributions towards the January 2013 closing of the
Company's acquisition of the business of the George Kelk Corporation, the
Company's first acquisition as an independent public company.
