Officers.
On March 4, 2013, Charles A. Brizius, a current member of the Board of
Directors of CC Media Holdings, Inc. (the "Company"), indicated his intention
not to stand for re-election at the Company's upcoming annual meeting of
stockholders. Mr. Brizius informed the Company that his decision not to stand
for re-election is not the result of any disagreement with the Company on any
matter relating to the Company's operations, policies or practices.
