Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

At the Annual General Meeting of Shareholders of TE Connectivity Ltd. (the "Company") held on March 6, 2013, shareholders of the Company approved an amendment to the Company's Articles of Association to reapprove the Board of Director's authority to issue shares out of the Company's authorized capital for an additional two year period ending on March 6, 2015 (the "Amendment").

The Amendment became effective upon its registration with the commercial register of the Canton of Schaffhausen, Switzerland on March 7, 2013. The proposal to adopt the Amendment was previously disclosed in the Company's definitive proxy statement filed with the Securities and Exchange Commission on January 11, 2013.
