On March 7, 2013, the Board of Directors of Prosperity Bancshares, Inc. (the
"Company") received written notification from Ervan E. Zouzalik, a director of
the Company, that he intends not to stand for re-election and will resign as a
director of the Company effective at the Company's annual meeting of
shareholders to be held on April 16, 2013.
