On March 6, 2013, American Tower Corporation (the "Company") issued a press release (the "Press Release") announcing that certain of its indirect subsidiaries had priced, in a private transaction, $1,800.0 million aggregate principal amount of Secured Tower Revenue Securities, Series 2013-1 and Series 2013-2, which will be backed by debt of two special-purpose subsidiaries of the Company and secured primarily by mortgages on their interests in 5,195 communications sites. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated by reference herein.
