On February 27, 2013, a securities class action lawsuit was commenced in the United States District Court for the Northern District of California, naming as defendants Affymax, Inc. ("the Company"), certain of its officers, Takeda Pharmaceutical Company Limited, Takeda Pharmaceuticals U.S.A., Inc. and Takeda Global Research & Development Center, Inc. The lawsuit, brought on behalf of a purported stockholder of the Company, alleges violations of the Securities Exchange Act of 1934 in connection with allegedly false and misleading statements made by the defendants regarding the Company's business practices, financial projections and other disclosures between December 8, 2011 and February 22, 2013 (the "Class Period"). The plaintiff seeks to represent a class comprised of purchasers of the Company's common stock during the Class Period and seeks damages, costs and expenses and such other relief as determined by the Court.
The Company believes it has meritorious defenses and intends to defend the lawsuit vigorously.
It is possible that similar lawsuits may yet be filed in the same or other courts that name the same or additional defendants. The Company does not intend to file further Current Reports on Form 8-K describing the additional lawsuits, or provide updates, except as required by law.
