Item 8.01 Other Events.
On February 22, 2013, the Board of Directors of The Middleby Corporation (the
"Company") established a Nominating Committee and appointed the following
independent Directors of the Company to serve as members of the Nominating
Committee: John R. Miller, III, Gordon O'Brien and Philip G. Putnam. Mr. Putnam
was appointed to serve as Chair of the Nominating Committee. The Nominating
Committee Charter will be posted on the "Investor Relations" section of the
Company's website, located at www.middleby.com, as soon as practicable.
