Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective on February 26, 2013, the Compensation Committee of the Board of
Directors made a change to the manner in which directors are compensated for
attending board and committee meetings by telephone or other digital form of
communication, to be paid at 50% of the regular meeting fee. This fee reduction
will not however apply for Audit Committee meetings to review the earnings
release.
