Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On February 25, 2013, Sean M. Traynor, a member of the Board of Directors of
AMERISAFE, Inc. (the "Company"), advised the Company of his decision not to
stand for re-election at the Company's 2013 annual meeting of stockholders to
devote more time to his other business and personal interests. Mr. Traynor will
continue to serve as a director until the annual meeting, which is expected to
be held in June 2013.
Mr. Traynor has served as a member of the Board of Directors since 2001. He is a
general partner of Welsh, Carson, Anderson & Stowe, a private equity firm. Welsh
Carson was the Company's majority shareholder prior to the Company's initial
public offering in November 2005.
