On February 21, 2013, George Paz, President, Chief Executive Officer and
Chairman of the Board of Directors of Express Scripts Holding Company ("Express
Scripts") sold a total of 281,193 shares of Express Scripts common stock, which
represents approximately 10% of his holdings (including vested and unvested
equity holdings). This transaction was made pursuant to a prearranged trading
plan adopted in June 2012 under Rule 10b5-1 of the Securities Exchange Act of
1934.
