Item 8.01. Other Events.

On February 21, 2013, the Board of Directors of Digital Generation, Inc. (the "Company") determined to allow the Rights Agreement entered into on September 5, 2012, between the Company and Computershare Shareowner Services LLC, as Rights Agent (as amended from time to time, the "Rights Plan"), to expire pursuant to its terms on March 5, 2013.

The Board of Directors adopted the short-term Rights Plan for the purpose of protecting the strategic alternatives process which has concluded.
