Item 2.02. Results of Operations and Financial Condition.

On February 20, 2013, The Sherwin-Williams Company issued a press release announcing that it has reached an agreement with the U.S. Department of Labor to settle the previously disclosed investigation of transactions related to Sherwin-Williams' employee stock ownership plan. Sherwin-Williams' financial results for the quarter and year ended December 31, 2012, as reported on January 31, 2013, are being revised to reflect the agreement. A copy of this press release is furnished with this Report as Exhibit 99 and is incorporated herein by reference.
