Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 13, 2013, SVB Financial Group (the "Company") received notice from
Mary Dent of her resignation from the position as the Company's General Counsel,
effective as of April 1, 2013. After April 1, Ms. Dent will remain with the
Company and assume the position of Vice President of Public Policy. In her new
role, Ms. Dent will expand her current efforts to assess how public policy
issues affect high growth technology companies and how the Company can engage in
education, advocacy, and other activities in the policy arena as part of its
mission to help its clients succeed. Upon her transition into her new role, she
will no longer serve as an executive officer of the Company.
