ITEM 8.01 OTHER EVENTS.

On February 12, 2013, Cardium Therapeutics, Inc. ("Cardium") issued a press release announcing that the American Podiatric Medical Association granted its Seal of Approval to the Company's Excellagen wound care product. Cardium also announced that it has retained an additional independent distributor group consisting of ten sales represents to market, sell and distribute Excellagen. A copy of the press release is attached as Exhibit 99.1 and incorporated by reference herein.
