(b) On February 13, 2013, G. Mason Morfit notified the Board of Directors of C.
R. Bard, Inc., (the "Company") that he will not stand for re-election at the
Company's 2013 Annual Meeting of Shareholders. Mr. Morfit's decision not to
stand for re-election was not the result of any disagreement with the Company
and Mr. Morfit informed the Board of his support for the Company's management,
Board of Directors, and the direction of the Company. Mr. Morfit will continue
to serve on the Company's Board of Directors until its 2013 Annual Meeting of
Shareholders, which is the end of his current term.
