ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 13, 2013, director Charles L. Blackburn notified the Board of Directors (the "Board") of Range Resources Corporation (the "Company") that he did not wish to be nominated for re-election to the Board at the Company's 2013 annual meeting of stockholders but he will continue to serve on the Board until the annual meeting currently scheduled for May 22, 2013. Mr. Blackburn has advised the Company he does not have any disagreement with the Company's management or the Board. Mr. Blackburn has been a Director of the Company since 2003 and the Company thanks Mr. Blackburn for his years of distinguished service to the Company and its stockholders.
