Item 2.02. Results of Operations and Financial Condition.

On February 14, 2013, Harsco Corporation issued a Press Release announcing its earnings for the fourth quarter of 2012. Among other things, the Press Release reports:

º operating loss for the fourth quarter of 2012 increased 336 percent;
º operating margin for 2012 decreased 840 basis points to (5.7) percent compared to 2011;
º operating income of $6 million in the Harsco Metals & Minerals Segment for the fourth quarter of 2012 compared to $15 million for the fourth quarter of 2011;
º operating margin for the fourth quarter of 2012 decreased by 220 basis points to 1.8 percent compared to the fourth quarter of 2011 for the Harsco Metals & Minerals Segment; and
º operating loss of ($285) million in the Harsco Infrastructure Segment for the fourth quarter of 2012 compared to ($100) million for the fourth quarter of 2011.
