Item 1.01 Entry into a Material Definitive Agreement.

On February 8, 2013, American Superconductor Corporation (the "Company") entered into a Supply Contract with Inox Wind Limited ("Inox"). The aggregate contract value of the Supply Contract is approximately $32 million. During the term of the Supply Contract, Inox has agreed to purchase electric control systems from the Company. The Supply Contract provides that shipments to Inox are scheduled to begin in March 2013 and span over a 17-month period.
