Item 2.02 Results of Operations and Financial Condition.

On February 11, 2013, CSP Inc. (the "Company") issued a press release announcing its financial results for the first quarter of fiscal year 2013 which ended as of December 31, 2012. A copy of the press release relating to such announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
