Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 6, 2013, George M. Peterman was given notice that, effective
March 31, 2013, as part of a corporate restructuring, the office of Senior Vice
President, Human Resources, a position which he has held since March, 2008, will
be eliminated. Mr. Peterman, subject to his signing a release of claims in
favor of the Company, shall receive payments and severance benefits pursuant to
Section 5 ("Severance Benefits") of the Change in Control & Severance Benefit
Agreement by and between the Company and Mr. Peterman, previously filed as
Exhibit 10.2 to the Company's Report on Form 8-K dated April 28, 2011.
