On February 11, 2013, NII Holdings, Inc. (the "Company") issued a press release
announcing the pricing of the private offering of senior notes by our wholly
owned subsidiary, NII International Telecom S.C.A., and guaranteed by the
Company. A copy of the press release is being filed as an exhibit to this report
and is incorporated by reference into this Item 8.01.
