(b) On February 7, 2013, Henri Richard, Senior Vice President, Chief Sales and
Marketing Officer for Freescale Semiconductor, Ltd. (the "Company") gave notice
that he has decided to retire from the Company. Mr. Richard has agreed to remain
at the Company during a transition period that will continue through September
27, 2013. The Company has initiated a process to identify his replacement.
