Item 8.01 Other Events.
On February 6, 2013, AXIS Capital Holdings Limited (the "Company") agreed to
purchase from Trident II, L.P and its affiliated entities Marsh & McLennan
Employees' Securities Company, L.P. and Marsh & McLennan Capital Professionals
Fund, L.P. an aggregate of 3,000,000 shares of the Company's common stock at a
purchase price of $38.70 per share, for a total purchase price of $116,100,000.
The agreed repurchase price per share represents a discount of 2.25% to the
Company's closing stock price on February 6, 2013 of $39.59. The transaction is
expected to close on or about February 14, 2013.
