Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 1, 2013, Arda M. Minocherhomjee, Ph.D. resigned from the Board of
Directors (the "Board") of Zogenix, Inc. (the "Company"). Dr. Minocherhomjee's
decision to resign from the Board did not result from any disagreement with the
Company concerning any matter relating to its operations, policies or practices.
In connection with this resignation, pursuant to the bylaws of the Company, the
Board voted to decrease the size of the Board from nine to eight members.
