On February 1, 2013, Andrew D. Lundquist submitted his resignation as a director of Pioneer Natural Resources Company (the "Company"), effective that date, to join the Executive Leadership Team of ConocoPhillips Company. Mr. Lundquist's resignation was not as a result of any disagreement with the Company regarding any matter relating to its operations, policies or practices.
