On February 6, 2013, The Corporate Executive Board Company (the "Company") issued a press release with respect to its earnings for the fourth quarter and the year ended December 31, 2012 and provided a financial outlook for 2013. In addition, on February 5, 2013 the Company's Board of Directors approved a cash dividend for the first quarter of 2013 of $0.225 per share payable on March 29, 2013 to shareholders of record on March 15, 2013.
