Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 31, 2013, Donald A. French, Treasurer, Secretary and Chief Financial
Officer of UQM Technologies, Inc. (the "Company") and a member of the Company's
board of directors, announced he plans to retire from the Company on July 31,
2013. In connection with Mr. French's impending retirement as an officer of the
Company, he will not stand for reelection to the Company's board of directors at
the 2013 Annual Meeting of the Stockholders.
