Certain Officers.
On January 30, 2013, Barbara S. Jeremiah and William H. Jones informed First
Niagara Financial Group, Inc. (the "Company") of their respective decisions to
not stand for re-election to the Company's Board of Directors and as such, will
relinquish their current roles at the 2013 annual meeting of stockholders. Each
confirmed that her or his decision was related solely to personal reasons, and
was not due to a disagreement with the Company on any matter relating to the
Company's operations, policies or practices.
