On February 1, 2013, Covidien plc (the "Company") issued a press release announcing the initial filing by Mallinckrodt plc of a Form 10 Registration Statement with the U.S. Securities and Exchange Commission in connection with the Company's previously announced plan to spin off its Pharmaceuticals business.
