ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On January 28, 2013, Mr. Yongfei Jiang resigned as a director of Sutor Technology Group Limited (the "Company"), effective immediately. Mr. Jiang's resignation was due to personal reasons and was not a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. On the same date, the Board of Directors of the Company elected Mr. Naijiang Zhou, the Company's Chief Financial Officer, as a director to fill the vacancy created by the resignation of Mr. Jiang.

There are no arrangements or understandings between Mr. Zhou and any other persons pursuant to which he was selected as a director and there are no transactions between the Company and Mr. Zhou that would require disclosure under Item 404(a) of Regulation S-K.
