On January 31, 2013, Helmerich & Payne, Inc. ("Registrant") issued a press release announcing its financial results for its first quarter ended December 31, 2012. The Registrant also announced that it had signed contracts to build and operate three additional FlexRigs®*. A copy of the press release is attached as Exhibit 99 to this Report on Form 8-K.
