Item 8.01 Other Events.
On January 31, 2013, FairPoint Communications, Inc. (the "Company") issued a
press release announcing that it had completed the sale of the capital stock of
its Idaho-based operations to Blackfoot Telecommunications Group of Missoula,
Montana, for approximately $30 million in gross cash proceeds. A copy of the
press release is included as Exhibit 99.1.
