Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 29, 2013, Donaldson Company, Inc. ("Donaldson") announced the appointment of James J. Owens to its Board of Directors, effective March 22, 2013. Mr. Owens, 48, is President and CEO of St. Paul, Minnesota-based H.B. Fuller Company. The addition of Owens was approved by the Board on January 25, 2013 and increases the number of Directors to ten.

Mr. Owens will also serve on the Audit Committee of the Board.

A copy of the press release that discusses these matters is filed as Exhibit 99.1 to, and incorporated by reference in, this report.
