Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On January 29, 2013, the Board of Directors of East West Bancorp, Inc. (the "Company") approved an amendment, effective immediately, to Article III,
Section 3.3 to the Company's Bylaws to provide that directors are elected by a majority of the votes cast, except in the case of an election for directors in which there are one or more stockholder nominees, in which case a plurality standard shall govern. A copy of the Bylaws, as amended, is filed as Exhibit 3.10 to this Current Report and is incorporated herein by reference.
