Item 8.01 Other Events.

On January 29, 2013 Chiquita Brands International, Inc. (the "Company") announced that it has priced its offer of $425 million aggregate principal amount of Senior Secured Notes due 2021 ("Notes"). The Notes will bear interest at 7.875% per annum and mature February 1, 2021. This proposed offering is described in the press release attached as Exhibit 99.1.
