Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On January 24, 2013, TiVo Inc. (the "Company") appointed Pavel Kovar, age 39, as Principal Accounting Officer. Mr. Kovar is Vice President, Corporate Controller and Treasurer of the Company. In his expanded role, Mr. Kovar will be responsible for the Company's accounting, tax, financial planning, and treasury functions and report to Naveen Chopra, the Company's Chief Financial Officer. Mr. Kovar joined TiVo in 2007 as Director, Chief Accountant and later served as Senior Director, Corporate Controller. He holds a master's degree in International Trade from the University of Economics, Prague, Czech Republic and is a Certified Public Accountant in the State of California.
