Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On January 23, 2013, Creed Ford, III, notified the Board of Directors (the
"Board") of Cosi, Inc. (the "Company") that he will retire from the Board when
his current term expires at the 2013 Annual Meeting of Stockholders on May 8,
2013. Mr. Ford has been a director of the Company since March 1997 and chose to
resign due to the demands of other professional commitments. Mr. Ford is not
resigning because of a disagreement on any matter relating to the Company's
operations, policies or practices.
