Item 8.01. Other Events.

On January 18, 2013, Career Education Corporation (the "Company") received notification that the Higher Learning Commission ("HLC") acted to continue the accreditation of Colorado Technical University ("CTU"). The next reaffirmation of accreditation is scheduled for 2022-2023. CTU will have a comprehensive review in 2016-17 and was asked to provide two interim monitoring reports to HLC, which will be completed by July 2013.

CTU issued a press release regarding the reaffirmation of accreditation by HLC on January 29, 2013, a copy of which is attached as Exhibit 99.1, and the information contained therein is incorporated herein by reference.
