(b) On January 21, 2013, W. Scott McLain notified Sonic Corp. (the "Company") of his intention to resign as President of the Company effective March 31, 2013. From March 31, 2013 through June 30, 2013, Mr. McLain will continue to serve as an employee of the Company in a non-officer capacity to ensure a smooth transition of his responsibilities. A copy of the Company's press release dated January 24, 2013 is being furnished as Exhibit 99 hereto.
