(b) On January 18, 2013, Mr. Terrence M. Ryan, President and Chief Operating
Officer of one of the Company's business groups, the Emerging Markets Group
(a business group of approximately $200 million in revenue), provided notice
of his decision to resign from his position with the Company. The effective
date of Mr. Ryan's resignation is February 1, 2013.
