Item 8.01 Other Events.

On January 24, 2013, Ferro Corporation (NYSE: FOE, "Ferro" or the "Company") issued a press release announcing that it had received a letter from FrontFour Master Fund, Ltd., expressing its intention to nominate three individuals to Ferro's Board of Directors at the 2013 annual meeting of shareholders.

A copy of the press release is attached, hereto, as Exhibit 99.1.
